Abstract (Thai)

บทความนี้มีวัตถุประสงค์เพื่อศึกษาขอบเขตความรับผิดทางกฎหมายของกรรมการตรวจสอบในบริษัทจดทะเบียนของไทย โดยครอบคลุมทั้งความรับผิดทางแพ่งและความรับผิดทางอาญา ทั้งในช่วงระหว่างดำรงตำแหน่งและภายหลังพ้นจากตำแหน่ง โดยมุ่งวิเคราะห์ฐานความรับผิดภายใต้พระราชบัญญัติบริษัทมหาชนจำกัด พ.ศ. 2535 และพระราชบัญญัติหลักทรัพย์และตลาดหลักทรัพย์ พ.ศ. 2535 ตลอดจนหลักกฎหมายทั่วไปเกี่ยวกับหน้าที่และความรับผิดของกรรมการบริษัท งานวิจัยนี้ใช้วิธีการศึกษาวิเคราะห์เชิงนิติศาสตร์ (doctrinal research) โดยพิจารณาบทบัญญัติกฎหมาย แนวคำพิพากษา และหลักเกณฑ์กำกับดูแลกิจการที่ดี ผลการศึกษาพบว่า กรรมการตรวจสอบอาจต้องรับผิดทั้งในทางแพ่งและทางอาญา หากการกระทำหรือการละเลยต่อหน้าที่ในระหว่างดำรงตำแหน่งก่อให้เกิดความเสียหายแก่บริษัท ผู้ถือหุ้น หรือบุคคล ภายนอก โดยความรับผิดดังกล่าวมิได้สิ้นสุดลงโดยอัตโนมัติเมื่อพ้นจากตำแหน่ง ทั้งนี้ ความรับผิดทางแพ่งอาจเกิดจากการฝ่าฝืนหน้าที่ความระมัดระวังและความซื่อสัตย์สุจริต ส่วนความรับผิดทางอาญาอาจเกิดขึ้นในกรณีที่มีการกระทำอันเป็นความผิดตามกฎหมายหลักทรัพย์ เช่น การเปิดเผยข้อมูลอันเป็นเท็จหรือปกปิดข้อเท็จจริงอันควรต้องแจ้ง อย่างไรก็ดี กฎหมายไทยยังขาดบทบัญญัติที่กำหนดขอบเขตความรับผิดของกรรมการตรวจสอบอย่างชัดเจน โดยเฉพาะในกรณีภายหลังพ้นตำแหน่ง ส่งผลให้เกิดความไม่แน่นอนในการบังคับใช้กฎหมาย บทความวิจัยนี้เสนอให้มีการกำหนดหลักเกณฑ์ที่ชัดเจนเกี่ยวกับขอบเขตและระยะเวลาความรับผิดทั้งทางแพ่งและทางอาญาของกรรมการตรวจสอบ รวมถึงการพัฒนามาตรฐานการใช้ดุลพินิจและกลไกคุ้มครองกรรมการที่ปฏิบัติหน้าที่โดยสุจริต เพื่อสร้างความสมดุลระหว่างการคุ้มครองผู้ลงทุนและการส่งเสริมธรรมาภิบาลในบริษัทจดทะเบียน

Abstract (English)

This article aims to examine the scope of legal liability of audit committee members in Thai listed companies, encompassing both civil and criminal liabilities during and after their tenure. The study analyses the grounds of liability under the Public Limited Companies Act, B.E. 2535 (1992) and the Securities and Exchange Act, B.E. 2535 (1992), as well as general legal principles concerning the duties and liabilities of company directors. This research employs a doctrinal legal research methodology, evaluating statutory provisions, judicial precedents, and corporate governance standards. The findings indicate that audit committee members may incur civil and criminal liability if their actions or omissions of duties during their term of office result in damage to the company, shareholders, or third parties. Such liability does not automatically cease upon their vacating office. Civil liability may arise from a breach of the duty of care and the duty of loyalty, while criminal liability may occur in instances of offences under securities law, such as the disclosure of false information or the concealment of material facts that ought to be disclosed. Nevertheless, Thai law still lacks explicit provisions defining the precise scope of liability for audit committee members, particularly in post-tenure scenarios, leading to legal uncertainty in enforcement. This article proposes the establishment of clear criteria regarding the scope and limitation periods for both the civil and criminal liabilities of audit committee members. It further recommends the development of standards for discretionary power and protective mechanisms for directors acting in good faith, in order to achieve a balance between investor protection and the promotion of corporate governance in listed companies.
